Know what you're signing.

Draft from public standards, check what you are sent against them, and read your state's statute. Clauseworthy is not a law firm and does not give legal advice.

Also on the desk

One morning, three documents.

An illustration of how the tools fit together, not a customer's story.

  1. 9:10

    A customer sends their NDA.

You paste it into Check. Two clauses differ from the Common Paper standard: a residuals clause and a confidentiality term with no end. You know which two questions to ask, and you have a short summary to forward if you want a lawyer's view.

  2. 9:25

You need to send one of your own.

Draft fills in the Common Paper cover page with both companies, the term and the governing law. The Standard Terms come word for word. You download it as Word and as PDF.

  3. 9:40

A candidate asks about the non-compete in your offer.

Know your state shows what that state's statute says about pay floors and duration, with the citation and the date it was last verified.

Clauseworthy is not a law firm. It is the desk you check with first, so that when you do call one, you know what to ask.

It is

Free tools built on public standards and on the text of state statutes, each named and linked. Common Paper describes its Mutual NDA as created by a committee of 40+ attorneys. Common Paper Mutual NDA, Version 1.0

It is not

Legal advice, a lawyer, or an attorney–client relationship. A flag means "differs from the standard", never "bad" or "unenforceable".

Your documents

Drafted and checked in this tab. Nothing is uploaded. Saving to the desk writes to this browser only, and only when you press Save.

Questions founders actually ask

Is this legal advice?

No. Clauseworthy is not a law firm and does not give legal advice. The tools fill in public standards, compare text with them and quote statutes; none of them knows your situation. For anything with real money or real risk, take the result to a lawyer.

Where do my documents go?

Nowhere. Drafting and checking run in your browser tab, and the pages make no request that carries your text. If you press Save to desk, the draft or report is written to this browser's local storage, and you can delete it there at any time.

What is the NDA based on?

The Common Paper Mutual NDA, Version 1.0, published under CC BY 4.0. You fill in its Cover Page; its Standard Terms are reproduced unchanged, with the attribution the licence asks for.

What does it cost?

Nothing, and there is no account. A paid tier called Desk Pro is planned but does not exist yet; the pricing page says what it would include.
